Wenglor Sensoric GmbH, with headquarter in Tettnang, has acquired all shares in ShapeDrive GmbH, a Munich-based leading manufacturer of 3D components and systems. With this acquisition, Wenglor expands its innovative portfolio for 3D measuring technology to include a further highlight service, which offers its customers all over the world new solutions for automated manufacturing and quality assurance. Seufert has acted as legal adviser to the shareholder of ShapeDrive GmbH in this transaction. One of the core challenges of the process was setting up an implementation formula for a reliable earn-out mechanism within a complex technological environment to allow the parties to fulfil their target of full integration soon after closing.
